TEGOS advised Bioforce Group, Estonia’s leading biomethane producer, operator and distributor, in connection with an investment by the Three Seas Initiative Investment Fund (3SIIF), advised by Amber Infrastructure Group.
The investment will support Bioforce’s ambitious growth strategy across the Baltic states and Poland. The company currently operates three biomethane plants in Estonia, with a fourth plant entering commissioning, and plans to significantly increase its production capacity through the development of new projects in Estonia, Latvia and Poland. According to the investor and the company, the transaction is expected to support the expansion of Bioforce’s biomethane production capacity to 1 TWh by 2032.
TEGOS assisted the client and its group companies in a comprehensive Legal Vendor Due Diligence process carried out in preparation for the fundraising transaction. The mandate involved coordinated support across multiple legal disciplines, including corporate and M&A, finance, real estate, employment, intellectual property, technology, insurance and environmental regulatory matters. TEGOS advised the client in co-operation with Glimstedt Latvia and Glimstedt Estonia.
The transaction highlights the growing importance of biomethane and renewable energy infrastructure in Central and Eastern Europe, supporting energy security, decarbonisation and the development of sustainable energy solutions across the region.
