TEGOS acted as legal advisor in the transaction in which UJ Invest sold 100% of the shares of Värska Originaal AS. This is one of the most important transactions in the Estonian beverage market in recent years. Värska Originaal is the best-known and longest-established mineral water producer in Estonia, whose brand has been part of the local drinking culture for decades.
The new owner of the company will be A. Le Coq, which marks a major step in the consolidation of the non-alcoholic beverage market and gives A. Le Coq a strategic position in the mineral water segment. The cooperation provides an opportunity to accelerate product development and bring Värska to even more consumers both in Estonia and abroad. At the same time, production will remain in Värska, as natural mineral water can only be produced at a mineral water source.
Our team supported the client throughout the process – from initial negotiations and planning of the transaction structure to the signing of the final contracts.

The purchase and sale transaction will become final once the relevant approval has been received from the Competition Authority. The transaction is expected to be completed in the first quarter of 2026.
