TEGOS assisted ORAC NV in acquiring the Orac product distribution business from DECOREST DISAIN OÜ/Ahti Läheb. ORAC NV signed the transaction on 7 May 2025 and closed it on 31 May 2025.
With the acquisitions, Orac Group companies, including Orac NV, entered the downstream market in Estonia, thereby following earlier acquisitions in Latvia and continuing to strengthen their distribution in the Baltics.
TEGOS provided Orac NV with comprehensive legal support, including the development of the transaction structure and the drafting of the business transfer agreement, transitional services agreement, lease agreements, employment contracts, and other transaction documents, as well as assistance during negotiations, signing, and implementation.
