Invego Group OÜ successfully completed a public bond issue, through which the Invego group of companies raised capital for the first time at parent company level. This marked an important milestone in the group’s financing activities, as similar issues had previously only been carried out at subsidiary level.
Drawing on previous experience in advising Invego group companies on a comparable public bond issue, we were once again able to support the client effectively by helping adapt earlier processes to the parent company level. This included, among other things, advice on compliance with the requirements arising from the fact that Invego Group OÜ, as the issuer, will henceforth be subject to the obligations set out in the rules of Tallinn Stock Exchange’s multilateral trading facility, First North.
As part of the project, a comprehensive solution was delivered to the client, covering all documentation and procedures required for the public offering of the bonds and their admission to trading on First North. In cooperation with the client, we prepared the information document, bond terms and conditions, and all other necessary documentation.
The issue proved highly successful, with bonds subscribed in the amount of EUR 19.85 million. The bonds have now been issued, registered, and admitted to trading.
