TGS Baltic client, UAB Vilniaus Prekyba – the largest Lithuanian-owned business group and one of the leading retail groups in the Baltic countries and Central Europe – has sold its subsidiary, UAB Delano, which operates the restaurant chains Delano and Can Can Pizza.
The cafe chain Caif Cafe and the self-service restaurant chain 12, which previously were part of UAB Delano, were carved out from the target company.
The transaction with the Estonian company Defood OÜ, which is controlled by the Estonian entity Mirrow Institute, was closed on April 30, 2025.
Commenting on the sale of the restaurant chains, Paulius Mencas, CEO of UAB Vilniaus prekyba, stated that the sale of the food service businesses reflects the company’s strategic focus:
„The offer to sell the restaurant chains aligns with our current direction to focus on our core businesses: retail trade, pharmacies, real estate development and management.“
As part of the restructuring, Caif Cafe and the self-service restaurant chain 12 were separated from UAB Delano and will remain under the ownership of the Vilniaus Prekyba group as standalone companies.
Paulius Dabulskis advised the client on all legal matters related to the transaction, while Marijus Kriščiūnas and Paulius Žalnieraitis advised on matters relating to carve out.
