TEGOS (formerly TGS Baltic) provided comprehensive advisory services for a transaction in which the management of Verge Eesti successfully acquired the Estonian business from its Norwegian parent company.
TEGOS was involved in all aspects of the transaction, including negotiating and executing the share purchase and licensing agreements, ensuring a seamless and strategically sound outcome.
As a result of the transaction, Verge Eesti gained exclusive rights to teach physical intervention techniques based on the Verge methodology in Estonia, strengthening their position in the market as a leading trainer and ensuring that all applied methods meet internationally recognized standards.
Airiin Demir, a board member of Verge Eesti, thanked TEGOS team, particularly partner Priit Lätt, whose leadership secured exclusive rights to use the Norwegian methodology and protected Verge Eesti’s intellectual property. “I am very grateful to the team, who stood by my side for four months, helping with the drafting and negotiation of the share purchase and license agreements,” said Demir.
Founded in 2013, Verge Eesti specializes in introducing the Norwegian-origin Verge methodology, which helps organizations manage aggressive behavior safely and with dignity. Over the years, the company has provided training to various sectors, including educational institutions, healthcare facilities, and social welfare organizations, helping to create a safer and more supportive environment for both employees and clients.
