TGS Baltic advised Mundus Investment Fund on EUR 7 million private placement of a bond programme to be issued by Juno Estate SIA. Legal advice included the drafting and execution of bond programme, issuing of 1st tranche, registration of bonds with NASDAQ CSD, establishing collateral in the form of share and asset pledges.
TGS Baltic advised on the whole transaction of the private placement of bonds, including structuring the transaction, drafting and negotiating bond documentation, agreement with the issuing agent, and security documents.
Juno group is a business company active in the forest industry, and the funds were required for acquisition transactions. The timing in this transaction was important to ensure that the funds arrived at the moment the payment was due for certain business operations. The legal advice included representation before Nasdaq CSD in relation to aligning bond documentation with Nasdaq CSD rules while ensuring that documentation meets the interests of the parties in particular in relation to the execution of corporate actions.
