HAVI Global Logistics GmbH (Germany) signed an agreement with SIA RIMI BALTIC on the sales of 100% of the shares in HAVI Logistics SIA. HAVI Logistics SIA owns 100% of the shares in its subsidiaries HAVI Logistics UAB (Lithuania) and HAVI Logistics OÜ (Estonia).
The transaction marks an important step in Rimi’s development to strengthen the competitiveness of its supply chain in the region and increase its workforce by 800 employees. It is subject to clearance by the competition authorities in all Baltic States.
Future cooperation between the parties to the transaction
After the transaction is completed, the parties will continue to provide services to each other among the companies in the group. Therefore, in addition to the share purchase agreement, the parties have also entered into transition service agreements to regulate the provision of services between them and to ensure the integration process of these services.
Certain companies of the seller group will continue to provide services to the target company and its Lithuanian and Estonian subsidiaries, and the target company will continue to provide services to certain companies of the seller group.
