TEGOS advised on the sale of shares between esteemed Estonian companies

TEGOS (formerly TGS Baltic) team advised Sulev Sisask, the majority shareholder of Ordi AS, one of the oldest IT hardware companies in Estonia, on the sale of shares to Klick Eesti AS, the process that lasted for two months was led by Sander Kärson, the managing partner at TEGOS.

Sulev Sisask, the largest shareholder and manager of Ordi, a legendary computer store in Estonia, decided to sell his business (together with other owners) to the competitor Klick because he wants to devote himself to teaching, writes Äripäev. Sisask, who built up Ordi for thirty years, admitted that selling his life’s work is hard, but, in reality, he has been away from the company for two years already. “It was not a decision made overnight, it was weighed for a long time,” he confirmed. The transaction is part of the industry consolidation process taking place in Estonia and creates a potential ground for larger transactions in this field in the future.

The company’s sales transaction was advised by Managing Partner Sander Kärson, Senior Associate Maris Vutt, and Counsel Triinu Järviste.

Completion of the transaction is pending merger clearance approval from the Estonian Competition Authority.
