We represented UAB Staticus Group, one of the biggest innovative construction solutions manufacturer in the Nordics, in the negotiation and drafting of their ERP software development agreement with CGI Lithuania, UAB (part of CGI global).
Our legal assistance focused extensively on intellectual property matters, including the delineation of ownership rights, licensing terms, confidentiality obligations, and restrictions on the use of proprietary technology. We worked to ensure the client’s innovations, software developments, and data were adequately protected through robust IP clauses, while also addressing risk allocation, dispute resolution mechanisms, and compliance with applicable IP law and industry standards.
The unique aspect of this deal included not only standard ERP features used for accounting, HR and finance, but also specific requirements for joint development of software what will be used in the entire process by the client, which had to cover: (i) design of the exterior of a specific building; (ii) the process of design of construction products; (iii) planning of a specific product manufacturing process; (iv) manufacturing; (v) sales; (vi) delivery, and (vi) assembling at the site.
